PREAMBLE
These General Terms of Sale and Use (hereinafter the "T&Cs") apply to all services offered by YADULINK through its website and its application (hereinafter the "Service").
These Terms govern the contractual relationship between:

and
Any individual or legal entity, consumer or professional, wishing to access the Service (hereinafter "the User" or "you").
Registration to YADULINK's affiliate program implies full and complete acceptance of these Affiliate Terms. If you do not accept these terms, you must not participate in the affiliate program.
1. PURPOSE OF THE SERVICE
YADULINK provides automated prospecting and engagement software that notably allows you to:
- The automated connection to your compatible third-party account via our cloud
- Engage a list of contacts, your profile visitors, incoming connection requests, etc.
- Tracking of likes, comments, profile visits and invitations received
- Post scheduling
- Connecting the Service to compatible AI assistants over an MCP connector, in order to view certain data, analyse your activity and trigger authorised actions from those assistants
- Other features available and coming soon
2. ACCESS TO THE SERVICE
2.1 Access conditions
To access the Service, you must:
- Have an active third-party account compatible with the Service
- Be of legal age and legally able to contract
- Create a user account on YADULINK via a compatible third-party OAuth login
- Use a technical environment compatible with the Service, including the connections and syncs certain features require
- Subscribe to our monthly plan (after the trial period)
2.2 Account creation
A YADULINK account can only be created through a compatible third-party OAuth sign-in. During that sign-in, you authorise YADULINK to access certain profile information needed to open and use your account (first name, last name, email).
Some Service features require you to use the sign-in and sync flows offered in the application so that the required technical authentication and sync elements can be retrieved.
You are responsible for keeping your login credentials confidential and you undertake not to share them with third parties.
2.3 AI connectors and MCP
The Service may offer an MCP connector allowing a compatible AI assistant, such as Claude or ChatGPT, to interact with your YADULINK workspace after you explicitly authorise it over OAuth.
During authorisation, the requested permissions are presented to the User as scopes. These permissions determine the data the assistant can read and the actions it can ask the Service to perform on your behalf.
Access to the MCP connector is subject to your account's eligibility, your subscription, the technical limits of the Service and the permissions applicable to your workspace. You can revoke the connector's access from the assistant concerned or from the YADULINK settings where available.
3. DESCRIPTION OF PLANS AND PRICING
3.1 Trial period
YADULINK offers a 7-day free trial period, with no purchase obligation and no need to provide payment details.
At the end of this trial period, you will need to take out our monthly subscription to keep using the Service.
3.2 Subscription plans
YADULINK offers the following subscription plan:
Pro subscription : 99€ HT/month
- Access to all the features of the Service (except for custom-developed features such as network cleaning, LinkedIn strategy creation, etc.)
Prices are shown in euros excluding tax. Applicable VAT will be added at the rate in force on the invoicing date.
3.3 Payment terms
Subscriptions are paid by bank card through our secure payment provider Stripe.
For monthly subscriptions, payment is taken every month on the anniversary date of your sign-up.
For annual subscriptions, payment is taken in a single charge for the whole year.
By taking out a subscription, you authorise YADULINK to automatically charge the amount for your plan at the frequency you chose.
4. TERM AND TERMINATION
4.1 Term
Monthly subscriptions run for an indefinite term with a minimum commitment period of one month.
Annual subscriptions are entered into for a fixed term of 12 months.
4.2 Termination by the User
You can cancel your subscription at any time from your customer area.
Termination takes effect at the end of the current billing period (end of the month for monthly subscriptions, end of the year for annual subscriptions). No refund will be issued for the remaining period.
4.3 Termination by YADULINK
YADULINK reserves the right to terminate your account, without notice or compensation, in the event of:
- Breach of these Terms
- Fraudulent or unlawful use of the Service
- Non-payment of amounts due
- Providing incorrect information when creating the account
4.4 Consequences of termination
On termination, whatever the cause:
- Your access to the Service will be disabled
- Your data will be deleted in accordance with our Privacy Policy
- No refund will be issued for the remaining period
5. INTELLECTUAL PROPERTY
5.1 YADULINK's rights
All elements comprising the Service (including text, graphics, software, photographs, images, videos, audio, plans, names, logos, trademarks, creations, other protectable works, and databases), as well as the Service itself, are the exclusive property of YADULINK or of third parties that have authorized YADULINK to use them.
Using the Service grants you no intellectual property rights over these elements.
5.2 Licence of use
For the duration of your subscription, YADULINK grants you a non-exclusive, non-assignable and non-transferable right to use the Service, solely for your personal or professional use.
This licence does not allow you to:
- Modify, adapt or translate all or part of the Service
- Decompile, disassemble or reverse-engineer all or part of the Service
- Create derivative works based on all or part of the Service
- Redistribute, sell, rent, sublicense or transfer all or part of the Service
- Remove the intellectual property notices displayed on the Service
6. USER'S OBLIGATIONS
By using the Service, you undertake to:
- Use the Service for its intended purpose and in line with these Terms
- Not use the Service for unlawful purposes or to send unlawful content
- Comply with the terms of use of any third-party platform connected to the Service
- Not ask an AI assistant connected to the Service to carry out fraudulent, unlawful, deceptive or excessive actions, or actions contrary to the rules of the connected third-party platforms
- Review the actions proposed or triggered through an AI assistant, especially when they change lists, create sequences, publish content or interact with third parties
- Not attempt to disrupt the normal operation of the Service
- Not attempt to access YADULINK's servers or networks without authorisation
- Not reproduce, copy, sell, trade, resell or commercially exploit any part of the Service
- Not collect or store personal data about other users
- Respect the intellectual property rights of YADULINK and third parties
7. LIABILITY
7.1 YADULINK's liability
YADULINK does its best to ensure the availability of the Service and the reliability of the information published.
However, YADULINK cannot be held liable for:
- Interruptions, outages, changes and malfunctions of the Service, whatever communication medium is used
- For any restrictions on access to the network or servers connected to the Service
- Direct or indirect, material or immaterial, foreseeable or unforeseeable damage arising from the use of, or inability to use, the Service
- For fraudulent or abusive use of the Service by the User
- The consequences of automated actions on a connected third-party platform, in particular if the User's third-party account is limited or suspended
- Errors, inaccurate suggestions, misinterpretations or unwanted actions coming from a third-party AI assistant connected to the Service, where those actions were requested, approved or made possible by the User
- The unavailability, changes or restrictions imposed by a third-party AI assistant, its provider, its interfaces or its usage rules
- Changes made by a connected third-party platform to its interfaces, integrations or terms of use that could affect how the Service works
YADULINK does not guarantee that the Service will be free of faults, errors or bugs, nor that these can be fixed.
YADULINK can only be held liable in the event of proven fault, and its liability is limited to direct loss, excluding indirect loss of any kind.
In any event, YADULINK's liability will be limited to the amount paid by the User over the 12 months preceding the event giving rise to liability.
7.2 User's liability
The User is solely responsible for:
- For how they use the Service
- For the content they publish through the Service
- For complying with the terms of use of any connected third-party platform
- For keeping their login credentials confidential
The User undertakes to indemnify YADULINK against any third-party claim, action or demand arising from a breach of these T&Cs or of the terms of use of any connected third-party platform.
8. WARRANTY AND MAINTENANCE
8.1 Warranty
YADULINK gives no express or implied warranty regarding the Service, in particular no warranty of merchantability, fitness for a particular purpose or non-infringement.
YADULINK does not guarantee that the Service will perfectly meet the User's expectations or specific needs.
8.2 Maintenance
YADULINK reserves the right to temporarily suspend access to the Service for maintenance, improvement or update purposes.
Where possible, YADULINK will endeavour to warn the User of these interruptions by any appropriate means.
9. PERSONAL DATA
The processing of Users' personal data is described in our Privacy Policy, available here.
By accepting these T&Cs, you acknowledge that you have read our Privacy Policy and accept its terms.
10. NO RIGHT OF WITHDRAWAL
Under article L. 221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for services fully performed before the end of the withdrawal period, where performance began with the consumer's prior express agreement and express waiver of their right of withdrawal.
Accordingly, by taking out a YADULINK subscription and starting to use the Service immediately, you expressly waive your right of withdrawal.
11. NO REFUNDS
No refund will be issued if a subscription is terminated early, whatever the reason.
Payments already made remain the property of YADULINK and cannot be subject to any request for full or partial refund.
No refund will be issued if the User deletes their account, under any circumstances.
12. CHANGES TO THE TERMS
YADULINK reserves the right to change these Terms at any time.
If they change, the new T&Cs will be notified to the User by email or through the Service before they come into force.
If the User keeps using the Service after the new T&Cs come into force, they are deemed to have accepted them.
If the User does not accept the new T&Cs, they must stop using the Service and cancel their subscription.
13. MISCELLANEOUS
13.1 Force majeure
YADULINK cannot be held liable for failing to perform its obligations in the event of force majeure as defined by French law and case law.
13.2 Severability
If one or more provisions of these T&Cs are held invalid, or declared so under a law or regulation or by a final decision of a competent court, the remaining provisions retain their full force and effect.
13.3 No waiver
The fact that YADULINK does not act on a User's breach of any obligation set out in these T&Cs cannot be construed as a waiver of its right to act on that breach later.
13.4 Assignment
YADULINK reserves the right to assign these T&Cs and transfer the resulting rights and obligations to any third party of its choosing.
13.5 Evidence agreement
Computerised records kept in YADULINK's systems under reasonable security conditions will be treated as evidence of the communications, orders and payments made between the parties.
14. GOVERNING LAW AND JURISDICTION
These Terms are governed by French law.
In the event of a dispute over the interpretation or performance of these terms, the parties will endeavour to settle it amicably.
Failing an amicable settlement, the dispute will be submitted to the exclusive jurisdiction of the Paris Commercial Court, notwithstanding multiple defendants or third-party proceedings.
